Company Law Lunch Seminar

Tineke Lambooy

The increased importance of corporate due diligence and human rights: theory and practice.

Brief description: Companies that do international business are increasingly challenged to perform 'due diligence'. For example the UN Ruggie Framework on Business and HUman Rights require from companies to perform a due diligence investigation before they get involved in a new project or with a new partner in order to prevent becoming involved in human rights abuses. Also, the EU Timber Regulation requires companies to perfrom due diligence when they import or introduce timber on the EU market. The new US Dodd Frank act requires that companies listed in the US disclose to what extent they have performed due diligence when they do business in risky states such as Congo. But what is due diligence? And how does that fit in with normal practice of companies? This lunch guest lecture will explain why (legal and business reasons) and in which way companies set up their due diligence investigations.
