Reform of the Shareholder Rights’ Directive: wrong answer to the wrong question – or a small step forward?

According to the European Commission: ‘Lack of proper accountability and short-term pressure leads to suboptimal governance and prevents companies from creating long-term value and from generating growth’. The Commission has therefore presented a proposal to reform the Shareholder Rights’ Directive in April 2014. In July 2015, the European Parliament adopted its amendments to the proposal, and the proposal is currently in trilogue negotiations between the Commission, Council and Parliament. This gives a very topical background for Beate Sjåfjell’s presentation, based on her work-in-progress text entitled ‘Shareholders’ duties to society: a feasible way forward?’.
