Abstract

The result of possible changes under the Omnibus proposal will not be the unilateral reduction of burdens on business as advertised by the Commission; rather the financial and corporate risks of unsustainability will increase. In the evolving regulatory ecology of duties of the board, the horizontal norm of corporate sustainability due diligence continues to develop, irrespective of the Omnibus proposal.

In this situation, boards are between a rock and a hard place. They are under increasing internal and external pressure to integrate sustainability into corporate governance, while still prevailing financial market forces insist on short-term maximisation of returns for investors. To navigate this situation, boards require updated knowledge and understanding of what they today can, should and increasingly must do, for their own positions, for the good of the business, and to contribute to a safer and more just world.
